FedEx Advanced Integrated Visibility Webhook Service Description

This Service Description is part of, and governed by, (a) the FedEx Master Platform Subscription Agreement (“MPSA”) with respect to a Customer; or (b) the FedEx Integrator Agreement (“Integrator Agreement”) with respect to an Integrator, and the applicable Order Form(s) entered into by Company with FedEx for access to and use of the FedEx Subscription Services currently known as “FedEx Advanced Integrated Visibility”. As applicable, the MPSA forms part of the Agreement with Customer and the Integrator Agreement forms part of the Agreement with the Integrator.
SECTION 1. DEFINITIONS
Capitalized terms used but not otherwise defined in this Service Description have the meanings as set forth below:
“Company” means either Customer or Integrator, as applicable.
“Eligible Services” means the following Transportation Services: U.S. domestic parcel transportation services offered by FedEx Ground and Package Systems, Inc. (“FedEx Ground”) and Federal Express Corporation (“FedEx Express”).
“Eligible Shipment(s)” means those shipment(s), utilizing Eligible Services, for which Customer has provided FedEx with the required inputs for FedEx to return in-transit tracking events.
“Transportation Agreement” means the current transportation agreement and any amendments or attachments thereto between FedEx and Company related to the provision of Transportation Services.
“Transportation Services” means those domestic and international transportation services, as described in the then current version of the applicable Service Guide. For the avoidance of doubt, Transportation Services are Core Services (as defined in the MPSA).
Capitalized terms used but not defined in this Service Description have the meaning set forth in the applicable Agreement . Terms not defined in the Agreement have the meanings set forth in the Transportation Agreement.
SECTION 2. DESCRIPTION AND REQUIREMENTS
(a) Pursuant to the terms of the Agreement, FedEx will use commercially reasonable efforts to provide Company access to and use of the Subscription Service and related Insights (as each is further described in the Agreement).
(b) The Insights returned under this Subscription Service are a consolidation of status information regarding Eligible Shipment(s) for the identified FedEx account number(s) or FedEx tracking number(s).

Please note the following for the FedEx Advanced Integrated Visibility:
Access to and use of the Subscription Service requires registration on FedEx Developer Portal if Company is either an Integrator enrolled in the FedEx Integrator Program or a Customer. For an Integrator enrolled in other FedEx Programs, registration requirements will be communicated to such Integrator.
Customer and applicable Integrator must create the following through FedEx Developer Portal:
1. Organization
2. Select Enterprise Account Number to be used for billing.
3. Add Shipping account(s) to organization
4. Create webhook project and add the call back server URL, security token, and subscribe to receive data.
Access to or use of the Subscription Service requires Company to provide either (i) the applicable FedEx Transportation Services account numbers in order to subscribe by account number; or, (ii) the applicable tracking number to subscribe by track number.
SECTION 3. Transportation Services.
(a) Company acknowledges that the Agreement is not the contract of carriage for shipments tendered by Company. Transportation Services are subject to the Transportation Agreement and the applicable Service Offering.
(b) Company acknowledges that Insights are provided to Company pursuant to the Agreement, shall not be used by Company as a basis for transportation-related claims made to FedEx, if any, that Company may file or assist another party to file, under the Transportation Agreement.
(c) Company may obtain information and data from other FedEx sources regarding an Eligible Shipment that is different from the data provided through this Subscription Service. Company is solely responsible for analyzing data from disparate resources and conclusions drawn from such analysis.
(d) Nothing in the Agreement alters the cargo liability under the Transportation Agreement.
